Terms of sale and use

These Terms and Conditions (the “Terms”) govern the use of the Criterium platform. By creating an account or using our services, you agree to be bound by these Terms.

1. Definitions

• “Service” means the Criterium platform and all associated features.
• “Client” means any natural or legal person who has subscribed to the Service.
• “Learner” means any end user enrolled in a course published through the platform.
• “Content” means the documents, files, courses and activities the Client uploads to or generates on the platform.
• “AI credits” means the unit measuring the use of the Service’s artificial-intelligence features, included in each plan.

2. Purpose of the service

Criterium provides a SaaS platform that lets independent creators and trainers design, generate and publish AI-assisted online courses (tutor chatbots, quizzes, presentations, written and video lessons, podcasts, graded assignments), sell them on a self-service basis and track their results.

3. Account creation

To use the service, you must create an account and provide accurate, up-to-date information. You are responsible for keeping your credentials confidential and for all activity carried out under your account. You must be an adult (18 or older) to create an account.

4. Pricing and billing

The Service is offered under three plans. The Free plan is free of charge, requires no card and never expires; it includes a one-time grant of 300 AI credits and is capped at 3 courses, 30 enrolled learners per course and 1 GB of stored files, with no video hosting. The paid plans, Solo (EUR 39 per month) and Studio (EUR 99 per month), lift those caps and include 3,000 and 15,000 AI credits per month respectively. Each paid plan can be subscribed monthly or annually; the annual subscription is billed ten monthly instalments for twelve months of access. Prices are stated in euros and are exclusive of VAT; Criterium operates under the French VAT exemption regime (article 293 B of the French General Tax Code, CGI), so no VAT is added to the amounts shown and invoices carry the mention “TVA non applicable, art. 293 B du CGI”. AI credits measure the use of artificial-intelligence features (content generation, chatbots, assisted grading). On paid plans the monthly allowance is renewed every month on the subscription anniversary date, whatever the billing interval; unused credits do not carry over. The Free plan allowance is granted once and is not renewed.

Two usages are billed in addition to the subscription, on dedicated lines: hosting and delivery of uploaded videos, billed at twice the streaming provider’s actual cost, and file storage, billed EUR 0.50 per GB stored per month. These lines apply to paid plans only; the Free plan is capped and is never invoiced.

The billing period starts on the date the paid plan is activated and renews on its anniversary date. The monthly subscription is charged every month, the annual subscription once a year in advance; additional usages are billed in arrears on the period’s invoice. Payment is made by card through our provider Stripe.

The Client may change plan or billing interval at any time. An upgrade applies immediately, with the difference pro-rated over the current period; a downgrade takes effect at the end of the period already paid for. No paid period is refunded.

5. Self-service sales

The Client may sell their courses directly to Learners through the platform after opening a Stripe Connect payment account. Criterium withholds a 5% commission on the amount of each successful sale, deducted at payment time; the balance is paid out by Stripe to the Client’s account.

The Client is the seller of their courses and bears the Stripe processing fees on each sale. They set their prices, remain responsible for the compliance of their offer and handle refunds themselves from their Stripe account; a full refund revokes the Learner’s access to the course and cancels Criterium’s commission on that sale.

6. Client commitments

The Client agrees to:

• Use the service in compliance with applicable law
• Not upload content that is illegal, defamatory or harmful to third parties
• Obtain the necessary consent from learners regarding the processing of their data
• Respect Criterium's and third parties' intellectual property rights
• Not attempt to bypass the platform's security measures

7. Intellectual property

The Criterium platform, its features, its code and its design remain the exclusive property of Criterium. The Client retains full ownership of the Content they upload to the platform.

By uploading or generating Content, the Client grants Criterium a limited licence to use it, strictly as needed to provide the Service (hosting, processing by AI models, generation of content and answers, delivery to Learners).

8. Privacy and personal data

The processing of personal data is governed by our privacy policy. Criterium complies with the GDPR and hosts data in the European Union.

9. Service availability

Criterium strives to keep the service as available as possible but cannot guarantee uninterrupted operation. Maintenance operations may cause occasional interruptions.

10. Limitation of liability

To the extent permitted by law, Criterium's liability is limited to the amounts actually paid by the Client over the last 12 months. Criterium shall not be liable for indirect or consequential damages.

11. Termination

The Client may cancel their paid subscription at any time from their account’s billing settings. Cancellation takes effect at the end of the period already paid for, monthly or annual; no pro-rata refund is due. On that date the account reverts to the Free plan and its caps, without deletion of data.

Criterium reserves the right to suspend or terminate an account in the event of a serious breach of these Terms, after prior notice.

12. Changes to the Terms

Criterium may amend these Terms at any time. Changes will be notified by email with 30 days’ notice. Continued use of the service constitutes acceptance of the new Terms.

13. Governing law and jurisdiction

These Terms are governed by French law. In the event of a dispute, and after an attempt at amicable resolution, the French courts shall have sole jurisdiction.
