Terms of Service

Welcome to Criterium. These Terms of Service ("Terms") govern your access to and use of the Criterium platform and services. By creating an account or using our services, you agree to be bound by these Terms. Please read them carefully.

1. Definitions

  • -"Platform": The Criterium web application and all related services.
  • -"Client": The organization or individual who creates an account and subscribes to our services.
  • -"User": Any person authorized by the Client to access the Platform (owners, admins, viewers).
  • -"Learner": End users who interact with chatbots created by Clients.
  • -"Chatbot": An AI-powered conversational assistant created and configured by a Client.
  • -"Content": Documents, files, and materials uploaded by Clients to train their chatbots.
  • -"Active User": A Learner who sends at least three messages to a chatbot during a billing period.

2. Service Description

Criterium provides an AI-powered chatbot platform designed for training organizations and educational institutions. Our services include:

  • -Creation and management of AI chatbots trained on your content
  • -Document upload and processing (PDF, DOCX, TXT)
  • -LTI integration with Learning Management Systems (Moodle, Canvas, etc.)
  • -Usage analytics and ROI tracking
  • -Team collaboration with role-based access

3. Account Registration

To use our services, you must create an account. When registering, you agree to:

  • -Be at least 18 years old or have the legal capacity to enter into contracts
  • -Provide accurate and complete registration information
  • -Maintain the security of your account credentials
  • -Notify us immediately of any unauthorized use of your account

4. Pricing and Payment

5 EUR per active user per month

You are only charged for learners who actively use your chatbots during each billing period.

  • -Billing Cycle: Billing is monthly, starting from your account anniversary date. Invoices are generated at the end of each billing period.
  • -Active User Definition: A learner is considered active when they send at least three messages to any of your chatbots during the billing period.
  • -Payment Method: Payments are processed securely through Stripe. You must provide a valid payment method to continue using the service after any trial period.
  • -Taxes: Prices are exclusive of applicable taxes (VAT). Taxes will be added to your invoice based on your location.
  • -Price Changes: Criterium reserves the right to modify the price per active user. Clients will be notified by email at least one month before any pricing change takes effect. Continued use of the Platform after the effective date constitutes acceptance of new pricing.

5. Free Access and Payment

You can create an account and use the platform for free to create chatbots, upload content, and test all features. No payment method is required during this phase. However, to deploy your chatbot on an LMS and allow learners to interact with it, you must add a valid payment method. You will only be charged based on actual usage (active users) once your chatbot is live.

6. Client Obligations

As a Client, you are responsible for:

  • -Using the Platform only for lawful purposes related to training and education
  • -Ensuring you have the rights to upload and use all Content
  • -Ensuring Content is appropriate and does not violate any laws or third-party rights
  • -Managing access to your account and the actions of your authorized Users
  • -Complying with GDPR and other applicable data protection laws when deploying chatbots to Learners

7. Prohibited Uses

You may not use the Platform to:

  • -Engage in any illegal activity or violate any applicable laws
  • -Upload harmful, offensive, defamatory, or discriminatory content
  • -Infringe on intellectual property rights of others
  • -Distribute malware, viruses, or other harmful code
  • -Attempt to reverse engineer, decompile, or hack the Platform
  • -Resell or redistribute the service without authorization

8. Intellectual Property

The Platform, including all software, designs, trademarks, and documentation, is owned by Criterium and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose.

You retain all rights to the Content you upload. By uploading Content, you grant Criterium a license to process, store, and use it solely to provide the services. We do not claim ownership of your Content and will not use it for any purpose other than delivering our services to you.

9. Data and Privacy

We take data protection seriously. As a data processor, we process personal data only on your instructions and in accordance with GDPR requirements. We implement appropriate technical and organizational measures to protect data.

10. Service Availability

We strive to maintain high availability of our services. However, we do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We will make reasonable efforts to notify you of planned maintenance in advance. Emergency maintenance may occur without prior notice when necessary to protect the security or integrity of the Platform.

11. Limitation of Liability

To the maximum extent permitted by law, Criterium shall not be liable for:

  • -Indirect, incidental, special, or consequential damages
  • -Inaccuracies or errors in AI-generated responses
  • -Actions or content of third parties, including AI providers
  • -Service interruptions due to force majeure events

Our total liability for any claims arising from these Terms or use of the Platform shall not exceed the amounts paid by you in the 12 months preceding the claim.

12. Warranties and Disclaimers

The Platform is provided "as is" without warranties of any kind, either express or implied. We do not warrant that the Platform will be error-free or that AI responses will always be accurate. AI-generated content should be verified by qualified personnel before being relied upon for important decisions.

13. Termination

You may terminate your account at any time through your account settings or by contacting us. Termination takes effect at the end of your current billing period. You remain responsible for charges incurred until termination.

We may suspend or terminate your access if you violate these Terms, fail to pay invoices, or engage in activity that harms the Platform or other users. We will provide notice when possible, except in cases of serious violations.

Upon termination, your access to the Platform will be revoked. Your Content will be deleted within 30 days unless you request an export. We may retain certain data as required by law.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Continued use of the Platform after changes become effective constitutes acceptance of the updated Terms. If you do not agree with the changes, you may terminate your account.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of France, without regard to conflict of law principles. The courts of France shall have exclusive jurisdiction over any disputes arising from these Terms.

16. Dispute Resolution

In case of any dispute, we encourage you to contact us first to seek an amicable resolution. Many issues can be resolved quickly through direct communication.

For disputes that cannot be resolved directly, you may refer the matter to a certified mediator before initiating legal proceedings. Consumer clients in the EU may also use the European Online Dispute Resolution platform (ec.europa.eu/odr).

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
